Will this work? What do we do next?
Those were just two of the questions that weighed on Tom Tramlin’s mind as he walked with Mike Miller to yet another meeting. The merger between UWEAR and PALEDENIM was underway, and things had become chaotic at the office during the past week as the management teams clashed over differing policies and procedures.
“I am glad that we decided to hire ALTAP Consulting for this project.” Tom said as he joined Mike on the elevator, “Their experience will certainly be helpful as we try to move through this merger.”
Mike looked down, hesitated slightly, and then responded, “Yes…I think you’re right. I have some doubts about bringing in outsiders, but they might be able to offer a perspective that we lack. I just wonder what they can really offer since they don’t know our industry.”
“I can understand your hesitation, Mike, but I really think we’re making the best decision possible,” Tom responded confidently as they exited the elevator and headed down the hall to the meeting. “The team has been under a lot of pressure the past couple of weeks trying to deal with this merger, and we need help. I don’t know if we can do it alone any longer.”

“Can you believe it?” asked Steve Maine as he barged into your office with a huge smile on his face. “We got the contract for the merger between UWEAR and PALEDENIM.” Excitedly smacking the contract on your desk, he said, “This is huge for our company and a big opportunity for you!”
You were just promoted to the strategic manager position after spending your first 2 years as a strategic analyst. You work at a management and leadership consulting firm that specializes in corporate management training and solutions.
Maybe this will be your first real project to manage.
“I want this project, Steve,” you stated emphatically. “I’m ready for it, and I won’t let you down.”
“What makes you think you’re ready for a challenge like this so soon?” Steve raised his left eyebrow, glancing uncertainly in your direction. “This is a pretty high-profile project, and all eyes will be on you. Do you really think you’re prepared for this?”
Right now is your opportunity to win the job.
“I’ve had experience with projects like this before with my previous company, Steve. Do you remember the merger project I mentioned that I was in charge of for the two petroleum companies?”
“All right,” he responds, “if you think you’re ready, then I’m willing to put it in your hands. Let’s go over the company briefs because you need to prepare for a meeting next week with the CEOs of UWEAR and PALEDENIM.”

Company Description PALEDENIM supplies low cost denim and coveralls to the trades industry and their main customer base is located in the Midwestern United States. They have been in business for only 5 years but are gaining market share rapidly due to their entry-level pricing structure. They do not manufacture any of their products.
The Merger
After reviewing the company briefs, Steve began to discuss the merger. “The two companies have decided to combine their marketing, sales, strategic analysis, human resources, and leadership teams.”
This will be a challenging project.
“So, my primary responsibility is going to be solving problems and resolving conflicts within and between the companies,” you mention nonchalantly, as though this will be an easy task. “I will work with them and propose solutions that will benefit the merger and allow the companies to more easily transition through this period.”
“You seem to have a handle on what needs to be done for this project,” Steve nods as he heads out of your office. “I’ll be here to consult if you run into any issues.”

You are having a lunch meeting with Bill Bateman, the chief executive officer (CEO) of the Peninsula Hotel chain, and Joe Smith, the sales rep for UWEAR. During the meeting, Bill raises the topic of the upcoming contract renewal.
“I’m glad you brought that up, Bill,” Joe says. “We’re really looking forward to working with you again this year. I was happy that we were able to reach an agreement last year, and it’s been a pleasure working with you and your team.”
Joe, like most of the UWEAR and PALEDENIM employees, is feeling the pressure to perform, fearing cutbacks and layoffs because of the merger. Sales have been down, and profit margins are very slim. Last year, Joe was reprimanded when he signed the contract with Peninsula Hotels because the price that he offered was so low. However, he had no choice because his competitor, Threads4U, was also a very shrewd bidder, and Joe would have lost the contract otherwise.
“Well, it has been good working with you too, Joe. I’ve really enjoyed our friendship, and the contract was very beneficial for our company,” Bill continues, “The reason I wanted to talk about the contract today is because I just got a call this week from Samantha over at Threads4U. She’s offering to beat your price by 10% to win back our business. What are you going to do to counter that offer?”

During the preparation for your meeting, you discover that UWEAR and PALEDENIM do not currently have any policies in place to provide whistleblower protection as outlined in the Sarbanes-Oxley (SOX) Act, Section 806. Because UWEAR is a publicly-traded company, as will be PALEDENIM, you recommend that they immediately implement a policy to address this issue.
You schedule a meeting with the two executives responsible for the policy decisions in human resources (HR): Sharon Reese, the HR manager for UWEAR; and Marcia Henry, the HR manager for PALEDENIM.
“Thanks for meeting with me today, Sharon and Marcia,” you say as you shake their hands across the table in the small conference room. “As you both may be aware, we have many challenges that are facing us during this transition period of the merger.” Watching their body language, you see that they are wondering what you want from them. As a strategic manager for a consulting firm, you have been in this situation before. You are an outsider who is trying to help a company and their employees change, and you have found that nobody likes change.
“Because we haven’t had the opportunity to work together up to this point, I was hoping that you could share with me some of your philosophy about management and tell me about your management style,” you say. “How do you like to manage?”
“I guess I’ll start,” says Sharon. “I’ve been an HR manager for over 17 years with UWEAR and have seen this company grow and change quite a bit in that time. I took this job right out of college after getting my B.A. in human resources management. I feel that I am successful because I make things happen. If something needs to be done and needs to be done quickly, people always come to me. I have a very intuitive management style, and I get a real feel for people and situations. I inherently know what needs to happen to get the job done. Also, I don’t think it’s necessary to create huge project plans with long implementation timelines. If you want something done, I’ll get it done for you. People who invest all of their time in planning and strategizing take too long to get things accomplished. Time is wasted, and the team loses momentum.”
“Thanks for sharing that information, Sharon,” you say. “I get a feeling that you are someone who can really make things happen, and I can appreciate that. Marcia, how about you?”
Marcia starts, “I have been the HR manager for PALEDENIM for the past 3 years. I have about 20 years of experience in the HR field and have an MBA. I feel that I’m an effective and trusted manager. I seldom interact with my vice president because she trusts me to do the job that I was hired to do. I don’t get much glory, but I don’t get much grief. My goal is to bring my projects in on time and at or below budget. Sometimes it is necessary to request additional resources to meet time lines if plans don’t go off as scheduled, but I am not afraid to speak up and make that request. My projects are planned and laid out prior to implementation. I partner with my team to make sure they are successful and, in turn, I am successful.”

Code of Conduct
When it comes to discussing things with the management team, things have to be done in a manner that can smooth ruffled feathered. The teams are already stressed out due to the merger, the potential of losing jobs and now they are finding there are all sorts of changes they are facing as well as new rules and regulations. Now they have to face a code of conduct after the fact they have to worry about ethics and the SOX act and regulations. Everybody is on edge. Making sure the management members know how to deal with ethics and code of conduct issues and how to better inform their employees as well.
When it comes to code of conduct many people think it’s one thing versus another. “It is meant to clarify an organization's mission, values and principles, linking them with standards of professional conduct.”(Ethics.org, paragraph 1) According to research on code of ethics it’s a type of business model where not only employees but consumers can look up the business and see what they stand for and how the company works.
When a company writes a code of conduct they need to think about where they want to go with their business. They need to figure out what mission they need to have for the company. These are things like values the employees have or the values of the owners of the business. Things like great customer service may not be enough but stating your business has integrity in mind is another thing that’s great. It gives the employees something to think about, things to keep in mind during the business day and it should help them stay on track if they find they may be wandering off the values established by the company.
When it comes to figuring out what issues should be considered when drafting a code of conduct you need to look at the bigger picture. “The trick is to strike the right balance between producing a huge document that covers every possible base but runs the risk of not being read and producing a short, snappy Code that does not really communicate enough and leaves you exposed in a number of areas.” (Acc.com, 2013) by making your code of conduct easy-to-read easy-to-follow and incorporating all of the things your company wants to establish in the code of conduct. You might just end up with a document that you are happy with. When considering the issues that could possibly arise when writing the could have taught conduct you should make sure that it is not too wordy, but it is the length is just right and that covers everything in a short and concise manner.
Considering that has a code of conduct could have anything to do with personal relationships the values and morals of the company things that you could do on and off company time. Those are things that people would worry about having to incorporate into their current jobs for code of conduct some code of conduct have greater and more stringent qualities to them vs. blacks and short and easy going. Below is a list of topics that could possibly be on a code of conduct document that I found online. The website www.ACC.com

When it comes to making sure the new code of conduct is put in place and implemented correctly with the business they need to make sure that all factors are taken into consideration. There is a merger going on between two different companies makes things a little bit more difficult. The fact that these two companies are similar and everything that they do certain types of code of conduct issues that might arise, but when it comes to infringements and dress code and things like that the smaller company might have different rules and ideas about things versus the larger of the two companies. I think that this merger could be difficult for the first few weeks or even months of the situation, but keeping in mind that this is all new to everybody. I think establishing a new and fully implemented code of conduct that would start the day that the merger is signed will help everybody all around.
When approaching a management team about this code of conduct issues in the fact that they do not currently have one and trying to establish a new one they need to be sensitive to the topics about the fact that they do not currently have one instilled into each company each company needs to be aware of the situation. If they are not our Eddie and try and smooth than as fast as possible by forming what management would consider guidelines and rules and showing them that the sky, but the rules are basically what they currently follow and it would be easy to turn it into a code of conduct policy. I think that this would stop more problems from happening in the future by allowing the companies to merge smoothly with the implementation of a code of conduct

When it comes to the merger between UWEAR and PALEDENIM I worry about duplicate positions. I know that the Sarbanes-Oxley (SOX) Act, Section 806, lists things that can and cannot be done in the instance of employees and how they are handled. Under subsection A of the Section 806 it allows for employee security under the Whistle blower act. But with similar positions being merged into one there will be some positions that don’t merge as well as others. Arrangements must be made for those people placed outside their current positions. But, the whistle blower policy needs to be kept in mind through all dealings as to make sure they are legal in all actions of the merger.
I set up a meeting with the current Human Resource managers for UWEAR and PALEDENIM. I worry about how they will take this meeting. During the meeting with Sharon and Marcia the two Human Resource Managers for the merging companies you find a lot of similarities in how they do things but they go about things totally opposite. Yes, they both get the job done, but to what expense. One needs no direction at all and the other seems to need extensions, extra time, and money. Are either of these healthy for a company? Is there a way to merge the two ladies into one perfect HR manager? I know during the merger both jobs will be on the line. Will one step up to outperform the other or will they both fall short?
Knowing that both managers essentially get the job done with a few pit falls things need to be managed together with a merger of their own to embody both styles to make a perfect position for one, or even both managers. They both have education, and experience on their side. They both know their business well, but they both have weaknesses and strengths that the other does not have. Most human resource departments have one manager and several employees but I think in this case of the merger we need one manager and one assistant manager. Now who gets the job will be determined by their credentials and the ability to get their job done on time, efficiently, and under budget.
The HR manager needs to know when to direct delegations and when to do things themselves. But they need to always be accountable for not only their own work but to the superiors over them. One manager lacks such qualities where as the other does not. I feel to make a happy medium here we need a manager willing to step up to do the job and get it done, but also needs to keep others apprised of what is going on so people know the status of things. The second problem I noticed was time management and planning. One gets it done quickly and uses no planning method, and the other takes a long time to plan and an even longer time to get actions rolling. The last problem I noticed was one manager comes in on time and under budget, where as the other takes their time, sometimes too much asking for an extension; and needs more funds. This can be a problem. For a company merging money is a big issue and costs need to be kept in check. Coming in on time and under budget or right on budget is a must right now as well as in the future.
I would give each manager a task that would challenge them on their weaknesses and not allow them to fall back on their stronger qualities to get things accomplished. It should test both of the ladies to do their best work, use their best judgment and make sure the ethics of the company are kept in check. They need to know that they have to do things to the top limits to make sure that they can secure the job that they want. They need to know that this test is going to be used to evaluate their current and potential job positions for the future.
I feel that by pushing the two current HR managers it will cause the better of the two to step up to the plate so that when the merger is complete that they will be efficient and the best choice for the companies to promote to the new position. I feel that the other HR manager should be kept on but in an assistant capacity. That way they can bounce ideas off each other, help build a stronger team and nobody loses their job. They need to understand that the whistle blower policy under the SOX act only protects them so far and that if it can be shown they are not living up to their potential in the company that they can be replaced easily by a better choice.

A Meeting of Minds
When I was first asked to prepare for a meeting between the managers of UWEAR and PALEDENIM I was a bit apprehensive. I know that they both have very different management styles, corporate policies, and essentially two different companies who work in the same industry. Yes, they both have a uniform company, yes they both work to provide the same and similar services, but each company is run a different way with different rules and guidelines. To break this down further each company needs to be examined.
UWEAR is a publicly traded company and has 100 employees, it has been in business for a long time and is well established in the Uniform industry. Their employees are very independent and tend to work alone and get things accomplished. Because of the sheer number of employees they don’t have time to hand hold. They are also regulated by the government and the trade commission since they are a public company. PALEDENIM is a private company and only has 15 employees, has been in business a few years but nowhere near the time as UWEAR. They have a family oriented business motto. They help each other out and work as a close nit team to get things done. Now what does public versus private mean?
“Privately-held companies are - no surprise here - privately held. This means that, in most cases, the company is owned by the company's founders, management or a group of private investors. A public company, on the other hand, is a company that has sold a portion of itself to the public via an initial public offering of some of its stock, meaning shareholders have claim to part of the company's assets and profits.”(Investopia,2009) So since we now know the difference between public and private we see that one company has more public scrutiny forced upon it as it has stock holders and other companies keeping an eye on the daily events of the company and how it runs. I reviewed some regulations that might also affect the companies status of public versus private and that has to do with the Sarbanes-Oxley Act that was established in 2002. “The legislation came into force in 2002 and introduced major changes to the regulation of financial practice and corporate governance.” (soxlaw.com, 2013) These regulations help keep companies accountable for everything no matter if they are public or private.
After reviewing the law and regulatory commissions needed to keep the companies running smoothly I have a better understanding of what materials I need to prepare for this meeting. I have learned enough about the topics to be comfortably informed. I think laws and regulations aside though, the companies need to go to bed together so to say. They both need to look at what each company does and try to merge their ideas together. They both work efficiently now, but when the merger is complete people will feel stepped upon if things don’t get merged completely. I think that team work is great and the managers need to take a look at how the smaller of the two business accomplishes this teamwork and the larger company needs to implement some of that into their practices. Just like the small company needs to learn to be more independent from one another and take some initiative to do things and see wht they can accomplish on their own.
The best way to show each company that the other will work best if they merge not only companies, but ideas, and management styles should be an effective thing to do. They need to be showed pros and cons to each situation. By using something like PowerPoint or old fashioned story boards. This way they can see things side by side. Each slide or board should be accompanied by options to help the teams merge into these situations and back everything up with resources you found where other companies have done the same if not similar things. This can show the managers that this can be done and efficiently.

The Dilema
Bill and Joe have a great working relationship. Joe met Bill a year prior and it was to form a contract between their two companies to produce uniforms for the company Bill runs. Throughout the contract Bill and Joe formed a friendship and they went on several non business related events and outings with their families. This never affected their business relationship before, but now there is a contract on the line to be considered. Joe has to weigh the ethical ramifications of Bills proposed outing to see if it could potentially harm the company in any way or hinder the current contract dealings.
Since Joe and Bill developed a friendship after the first contact was signed and they have kept business, business; I don’t feel as an impartial observer, that this could hurt the contract dealings. Joe will continue to do his job the way he always has and going on this trip with Bill will not hurt either company any. Joe should graciously accept Bill’s invitation. When it comes to the theory that should be used in this ethical situation I would still consider Utilitarianism. It offers different perspectives that focus on the good of all. (McAdams, Neslund, & Neslund,2007).
The Utilitarianism theory allows both parties to do what is best for each person but also for their business and be equal in both aspects. “A decision that maximizes the ratio of good over evil for all those concerned is the ethical course” (McAdams, Neslund, & Neslund, 2007). I think it equally focuses on what each company and each person needs to make a complete decision based solely on the facts and not based on personal relationships. It unlike other ethical theories bases things on the facts not on feelings, who can get more for less or other perspectives that I would deem less than ethical.
Most people view this ethical dilemma differently than I do. Most chose Egoism and Altruism because it benefits people based on feelings and they keep common goals in line with the outcome and the theories they feel should be applied to the situation. They focus more on the consequences rather than the facts and the black and white of things. Feelings should not have any place in an ethical decision. It’s based on what is good and right not if it makes you feel bad.
I think that compromising an ethical part of the decision making can also compromise more than just the contract and friendships. I think trying to keep things equal on both parts will be the best for everybody involved because you want to make sure that the things you do are of equal benefit to each person and company. Trying to use emotions to decide on things can get very messy when it comes to a business. Businesses are run on facts and figures not on how you feel about a situation. If you based all business decisions on a feeling you can get hurt not only financially but in other ways too.
Making sure that every aspect is covered in the situations when it comes to the contract and their friendship is a must. Bill and Joe have a great working relationship based on trust and equal benefits. Joe benefits Bill by giving him great customer service and the discounted prices he enjoys. Bill benefits Joe by feeding clients to UWEAR and allowing the use of his conference room at his establishment to conduct these contract negotiation meetings. They have a relationship based on trust and a clear ethical benefit where each party is happy.
This contract that is currently being revised to make sure both parties are happy should not come into consideration on weather Joe goes with Bill on a boating trip on an off work day with their families. If Bill does try to discuss business Joe could redirect the conversation to something else or say that they can discuss things further Monday morning. Things should be kept separate while things are being ironed out. It should be the only ethical decision here.
Based on the facts and evidences put to the test I feel that Joe and Bill should go and have a great time on their boating trip, leave the office at the office and work for another day. I don’t feel this can harm either company or the contract negotiations at all. There should be no ethical decisions made based on their mutual friendship outside of the job.

To go or not To go!
Through out the contract dealings with Peninsula Hotel chain Joe has felt his friendship with Bill has been a bit strained. Joe feels that the friendship that he has built with Bill over the past year since the contract signing the previous year may be at jeopardy. The fact that Bill called Joe while the current contact is being negotiated shows Joe that he still wants to be friends no matter the outcome of the situation.
Joe recently has been put into a bind with the contract between Bill and his hotel chain. Negotiations have not gone well and the management team has to review things to see what can be done to save the contract and the business. Joe does not want to lose the business with Bill because he provides so many other referrals to UWEAR and the company profits from those greatly. But, on the other hand the price decrease for the uniforms could financially hurt the company. Additionally, this could put a strain on Bill and Joe’s relationship outside of the company.
I fear that if Joe turns Bill down for the boating trip that it could hurt his chances on the agreement, but it could also be like bribery on the other hand. I feel that Joe should go to the Yacht and see what goes on. Bill could pick his brain or even sign the contract while they are out on the water. I know the management team still has to agree on the terms but I’m sure Bill has an idea he is going to pitch to Joe to save the contract. I know that mixing pleasure with business has its risks and Joe has always agreed to Bills generosity before and there is no harm in going as it has been their thing for a year now, but Bill might just have something up his sleeve.
I feel the stakeholders are Joe, Bill, and the Management team. I am not quite sure if Joe should tell the management team before he goes or after he comes back about Bill’s call and invitation. They could see this on the management team as bribery. I think honestly that this is Bill’s way to take Joe out, thank him for his past year of friendship work out a few ideas on a new contract and shake on it. I think this is a very good thing for Joe and Bill and UWEAR. I don’t foresee any problems with this contract or merger.
In conclusion to my analysis I feel that Joe and Bill are truly friends outside of the business world. I think by Bill inviting Joe and his wife on a outing shows his friendship. I also feel that Bill wants to distress and help Joe with the decision on the contract. They might be there for an easy breezy afternoon on the boat but I’m positive business will be discussed. I’m sure by the end of the boat trip that things will be settled, Joe will be secure in his relationship personal and business wise with Bill. They will have a lovely time and complete things to satisfaction.
